These Terms constitute a legally binding agreement between you and Kasp ("Kasp," "we," "our," or "us"). Please read these Terms carefully before using our Service.

Kasp operates a curated talent marketplace that connects elite engineers with AI startups and high-growth tech companies. Our Service includes:

• Match Day: A structured 48-hour hiring window where companies can submit salary-backed offers to matched candidates
• Candidate profiling and matching services
• Interview scheduling and coordination
• AI-powered interview assistance
• Concierge recruiter support
• Other features and services as described on our platform

3. User Accounts and Registration

3.1 Account Creation

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that:

• You are of legal age to form a binding contract
• You have the legal capacity to enter into these Terms

5. Candidate Responsibilities

If you use our Service as a candidate, you agree to:

• Provide accurate information about your skills, experience, and qualifications
• Respond to company inquiries and interview requests in good faith
• Attend scheduled interviews unless you have a legitimate reason to cancel with advance notice
• Notify Kasp if you accept a position through another channel
• Comply with all applicable employment laws and regulations

6. Company Responsibilities

If you use our Service as a company, you agree to:

• Provide accurate job descriptions and requirements
• Submit salary-backed offers with legitimate compensation ranges
• Conduct interviews in a professional and respectful manner
• Provide timely feedback on candidates
• Comply with all applicable employment and anti-discrimination laws
• Pay applicable fees as outlined in our pricing terms

7. Fees and Payment

7.1 Candidate Fees

Our Service is free for candidates. Candidates may choose to subscribe to premium features, which are subject to the pricing terms outlined on our platform.

7.2 Company Fees

Companies may be charged fees for using our Service, including but not limited to:

• Subscription fees for platform access
• Success fees based on successful hires
• Other fees as described in your service agreement

All fees are non-refundable unless otherwise specified in writing. We reserve the right to change our fees with 30 days' notice.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Kasp and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service. By submitting content, you grant Kasp a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of providing and improving the Service.

9. Disclaimers and Limitation of Liability

9.1 Service Availability

We strive to provide a reliable Service but do not guarantee that the Service will be available at all times, uninterrupted, error-free, or secure. The Service is provided "as is" and "as available" without warranties of any kind.

9.2 No Employment Guarantee

Kasp does not guarantee that candidates will receive job offers or that companies will successfully hire candidates. We facilitate connections but are not a party to any employment agreements between candidates and companies.

9.3 Limitation of Liability

To the maximum extent permitted by law, Kasp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kasp, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting us or using the account deletion features in the Service. Sections that by their nature should survive termination shall survive, including but not limited to intellectual property, indemnification, and limitation of liability provisions.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in San Francisco, California, unless otherwise agreed by both parties.

You waive any right to participate in a class-action lawsuit or class-wide arbitration. If any part of this dispute resolution provision is found to be unenforceable, the remainder shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
